About us

The JFSC plays an important role within Jersey’s financial services community, supporting the development of business on the island through engagement with industry and stakeholders, running the Companies Registry, and through our risk based and proportionate approach to how we supervise the Island's financial services businesses - including financial institutions, designated non-financial businesses and professions and virtual asset service providers. The JFSC supervises these groups for anti-money laundering (AML), countering the financing of terrorism (CFT) and countering proliferation financing (CPF) purposes. We also regulate financial services for conduct and prudential purposes.

Division: Risk

The Risk team is primarily responsible for overseeing the functioning of JFSC’s enterprise risk management framework, which dictates how we identify, measure, manage and report on risk across the business. It also plays a key role in the management and oversight of regulatory risk in Jersey, primarily through consideration of national risk, and the modelling and analysis of data collected from regulated entities, informing our understanding and response to risk present within the regulated sectors.

Team: Legal

The legal function at the JFSC serves as a key pillar in safeguarding the organisation’s regulatory integrity and reputation. Through the Head of Legal, it provides trusted legal advice across a broad spectrum of issues including regulatory, employment, and contractual related matters. The function also oversees the engagement and management of external legal counsel, ensuring cost-effective and timely legal support. Role: Permanent / 35 hours per week

The successful candidate will join the JFSC at a key stage in its development, as it seeks to play an enhanced role in the continued success of Jersey as a highly regarded International Financial Centre. Legal Counsel We're looking for a Legal Counsel to join our in-house Legal team in Mourant Governance Services.

About the role

Our in-house legal function provides first class legal advice and support to the 25+ companies in the Mourant Governance Services group and the directors and senior management of those companies. The workload is diverse and covers all our locations. Risk (in conjunction with the Mourant CRCO & other responsible officers)

• Maintain best practice in legal, reputational and operational risk management in MourantGS.

• Identify, analyse and propose mitigation for legal, reputational and operational risks arising from MourantGS client mandates.

• Support the ongoing development of a strong compliance culture and assist client facing teams in maintaining confidentiality and legal privilege where appropriate.

Contractual

• Manage global terms of business, jurisdiction terms, and data processing terms.

• Review and assist in negotiating NDAs, supplier contracts, license agreements, and other commercial contracts.

• Draft and maintain intra-group agreements, including outsourcing and service agreements.

• Lead a project to automate engagement letters for global consistency.

• Advise on and negotiate bespoke client terms when needed

Regulatory

• Assist with advising on outsourcing issues affecting MourantGS, drawing on appropriate support.

• Assist with advising on obligations arising under applicable codes of practice and other codes and guidance notes published by regulators.

• Assist on regulatory licence applications, and the process for ending existing registrations, for all MourantGS entities.

• Maintain our legal and regulatory small print bank.

• Advise on the legal and regulatory issues regarding overseas working.

• Advise on automatic exchange of information laws and regulations including FATCA, CRS DAC6 and MDR.

• In conjunction with colleagues in our Risk & Compliance team, assist on advising on AML issues including eligible introducer letters and the legal aspects of ABC, SOW/SOF and other CDD related issues.

Co-ordination within Mourant

• Prepare papers for local boards and senior management on relevant legal and regulatory issues.

• Attend quarterly board meetings, if required.

• Assist in managing senior executive and key stake holder relationships across our locations, if required.

• Provide legal input on policies, procedures and guidance notes.

• Ensure that time-zone and cultural sensitivities are in mind at all times when advising on the legal issues affecting MourantGS.

• Work closely with the wider Mourant General Counsel team in respect of matters which have a Mourant group impact.

Internal licensing / projects

• Assist with preparing the legal section of ILA/SOGA forms. Other colleagues will deal with all governance aspects associated with internal licensing.

• Assist with advising on specific projects affecting Mourant Governance Services including new products, entries into new jurisdictions, office moves, acquisitions and disposals, if required.

About you

We are looking for a lawyer with relevant post-qualification experience, ideally in a commercial law firm or in-house legal term. Corporate / funds law experience or prior in- house legal experience (particularly if gained within a regulated environment) is advantageous.

CGI and/or STEP qualifications are advantageous. You will be supported to achieve such qualifications if you wish to do so.
