Senior Governance Manager

We are seeking an experienced governance professional to assist the Chief Legal Officer with the provision of governance support to the various partnerships, limited partnerships, limited liability partnerships and companies forming part of Mourant, together with their partners and senior management. About the role

• Act as the lead governance representative within our in-house legal team with responsibility for our internal governance framework.

• Provide in-house governance support, including liaising with internal and external stakeholders in connection with specific governance projects (for example, entity formation and liquidation, internal reorganisations and new jurisdictions).

• Assist with the design and implementation of an enhanced internal governance framework across the law firm and business services.

• Provide governance support for our annual audit and professional indemnity insurance renewal.

• Advise partners and senior management on the requirements on the firm's constitutional documents.

• Become the secretary of boards or committees (if required).

• Maintain terms of reference for committees and advise on their requirements

• Organise and attend meetings and maintain a schedule of meetings for all in-house boards and committees

• Shape structured and coherent agendas and plan for meetings so that all meeting packs are published on a timely basis

• Draft accurate and detailed minutes and proactively encourage progress from stakeholders on their action points (including keeping action point trackers and matters arising lists).

• Assist with the ongoing development of a suite of checklists, procedures, and guidance notes for routine company secretarial tasks and governance lifecycle events.

About you

• A practical understanding of corporate law is preferred, and in-house experience gained within a regulated environment would also be advantageous

• Demonstrable practical and technical knowledge of Board Intelligence (or equivalent company secretarial systems and platforms).

• Ability to work flexibly and collaboratively with the direct and wider teams

• Demonstratable organisation, communication and presentation skills

• Ability to work autonomously and under pressure, often within tight deadlines

• A proactive approach and willingness to develop existing skills and update legal knowledge by way of additional training.

Administrator, Client Services (Capital Markets)

Reporting to the Client Services Manager, you'll be responsible for providing high quality administration for a portfolio of corporate and institutional clients with particular emphasis on the client service aspects of the business, delivering excellent client services levels at all times. You'll be involved in the full life cycle of our clients, including the client take-on process and all aspects of the ongoing administration of the client. About the role

• Manage and be wholly responsible for the administration of a diverse portfolio of corporate and institutional clients and ensure that client relationships and administration are conducted effectively and to a high standard

• Ensure client expectations are properly managed and valuable relationships are nurtured

• Assist with the effective management of day-to-day activities to include timely processing of work, meeting transactional and internal procedural deadlines and managing WIP and debt collection

Client Take-On Administrator

About the role

As a Client Take-On Administrator, you will be an integral member of our Global Client Take- On Team. Your primary responsibility is to support client on-boarding and ensure compliance with client due diligence (CDD) processes across multiple jurisdictions, including Jersey, Guernsey, UK, BVI, and Cayman Islands.

• Assist with CDD inquiries and document collation for non-regulated business clients.

• Provide support across various jurisdictional regulatory requirements related to financial crime, data protection, and confidentiality.

• Conduct CDD collation and participate in client risk assessments by analysing complex legal entity structures to determine required CDD and communicating with clients or designated contacts to obtain necessary CDD.

• Execute financial crime and AML risk assessment processes in alignment with Mourant's policies

About you

• Relevant experience working in a CDD/client take on role within a regulated Financial Services Business or professional financial services firm.

• Knowledge of financial service provider industry and associated corporate and fiduciary services, including complex structures in Cayman, BVI and HK.

• Knowledge of financial crime regulations for law firms or regulated fiduciary and corporate services in at least one of Jersey, Guernsey, Cayman or BVI.

• Ability to learn and fully understand multiple and complex procedures across different jurisdiction regulatory requirements is required.

• Emerging pragmatic and solution-oriented risk management skills to assess client risk.

• Strong IT skills with Microsoft suite of products and ability to learn and use multiple on- boarding applications and client administration systems.

• Process-oriented mind-set to provide team and business support and quickly adapt to with process changes and efficiencies is preferred.

In this role, you will:

• Ensure high quality client service levels by delivering on client mandates with colleagues to ensure they are delivered effectively to a high standard and within deadlines.

• Keep abreast of all regulatory changes and industry standards for the purpose of providing relevant products and services.

• Liaise and collaborate with the firm's Business Services teams to ensure policies, procedures, systems, and controls are followed in practice.
