Senior Company Secretarial Officer - Funds 

Our client, a highly reputable law Firm, is looking for a highly motivated individual to support their company secretarial needs of a portfolio of regulated investment managers, regulated funds and subsidiaries and managing the delivery of their company secretarial services.

Key Responsibilities

  • Reporting to the Company Secretarial Manager, you will work closely with the Boards of regulated Fund Services Businesses as well as the Boards of a variety of regulated funds 
  • Attendance at all regular board meetings including preparation of agendas, electronic board papers and facilitating the production of timely, accurate minutes and actions arising from these meetings
  • Attending to Jersey statutory filings (i.e. Jersey annual confirmation statements, ISE returns, Jersey tax and substance returns) in accordance with applicable deadlines, maintaining accurate statutory records, registers and books in conjunction with client-facing team
  • Keep up to date with Jersey statutory and regulatory frameworks and the periodic amendments thereto to ensure client entities remain fully compliant with their obligations 
  • Assist with the development and maintenance of a best-in-class corporate governance framework across the Fund Administration function 
  • Develop effective diary and corporate governance timetables to manage scheduling of periodic board meetings, AGMs and EGMs and key recuring tasks throughout the year
  • Production, maintenance of statutory registers for client entities, including responsibility for managing the RBO filing process for all client fund entities
  • Assist with the incorporation process for new local Fund Administration client entities creating the necessary statutory registers

Skills, Knowledge and Expertise

  • 4-6 years’ relevant experience in the finance industry preferred
  • Strong academic background, and working towards or holding a professional qualification such as CGI Level 4
  • Excellent written and verbal communication skills
  • Strong working knowledge of Jersey Companies Law, and the regulatory environment
  • Working knowledge of the MS Office package (Outlook, Word, Excel, Power Point)
  • Good understanding of the applicable statutory laws and other related legal and regulatory requirements, including anti-money laundering regulations
  • Responsive and client-focused with strong organisational skills and attention to detail
